Welcome to Student Job Link, an on-line community designed to facilitate valuable professional and personal networking among candidates and employers, based on common experiences and interests. The Student Job Link service and website (collectively, "Student Job Link" or "the Service") are operated by North America Student Job Link Corp. (collectively, "we", "us" or “the Company"). By accessing or using our website at www.studentjoblink.com (the "Site") you (collectively, “you” or “the Employee”) signify that you have read, understand and agree to be bound by these terms of use, including the Student Job Link Privacy Statement, which is incorporated by reference (collectively, the "Terms of Use" or "Agreement"), whether or not you are a registered member of Student Job Link. We reserve the right to revise these Terms of Use at any time by posting an updated version to this web page. Your continued use of the Site or the Service after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) the Site or the Service. It is your responsibility to regularly check the Site to determine if there have been changes to these Terms of Use and to review such changes.

Registration and Membership

As consideration of your access to and use of the Site and/or the Service, you agree to: (a) provide accurate, current and complete information, as prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password and other account access information and not share it with any third party; (c) maintain and promptly update the Registration Data, and any other information you provide to the Company, so as to keep it accurate, current and complete; (d) be fully responsible for all use of your account and for any actions that take place using your account; and (e) immediately notify the Company of any unauthorized use of your account or password.

Account Information

You understand and acknowledge that you have no ownership rights in your account and that if your membership is cancelled, all information or communications that you submit to or publish or display on Student Job Link, or that you transmit to others, and all Professional Centered Profile information, job postings, messages, invites, contacts, saved Employer profiles (collectively, the “Account Information”) will be marked as deleted in the Company's databases and will be removed from Student Job Link. You understand and acknowledge that your Account Information may continue to be available for some period of time because of delays in updating the Site. In addition, third parties may retain cached copies of your Account Information.

You are solely responsible for your Account Information and all other information or communications that you submit to or publish or display on Student Job Link (collectively, “Post”) or transmit to others. By submitting Account Information to any public or non-public area of Student Job Link, you grant the Company and its affiliates the royalty-free, perpetual, irrevocable, licensable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Account Information (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such Account Information. You also permit Employers to access, display, view, store and reproduce such Account Information for personal use.

Creating Professional Centered Profiles and Posting Information

You are responsible for ensuring that the content of all material you Post, including all Professional Centered Profiles (PCPs), resumes and communications, complies with all applicable laws.

User Conduct

You agree to use Student Job Link in a lawful manner, for the limited purpose of seeking job opportunities. You acknowledge and agree that you may not use Student Job Link in order to transmit, distribute, store or destroy material: (a) in violation of any applicable law or regulation; (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others; or (c) that is defamatory, obscene, threatening, abusive or hateful. You agree not to:

§ use the Site or the Service for any unlawful manner;

§ harvest or collect the email addresses of or other contact information pertaining to any Site or Service users (collectively, “Users”) by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

§ Post any incomplete, false or inaccurate information, or any material that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to any third party;

§ Post any materials pertaining to a competitor of the Company, or Post jobs or other content that contains links to any site competitive with the Company;

§ impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity;

§ use or attempt to use another's account, service or system without authorization from the Company;

§ attempt to delete or revise any material Posted by any other person or entity;

§ use any device, software or routine to interfere or attempt to interfere with the proper working of Student Job Link or any activity being conducted on the Site;

§ take any action which imposes an unreasonable or disproportionately large load on the Company’s infrastructure; or

§ upload, Post, transmit, share, store or otherwise make available content that, in the sole judgment of the Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Site or any Service, or which may expose the Company or its Users to any harm or liability of any type.

Site Advertisements and Links

You understand and agree that the Site and the Service may include advertisements and that these advertisements are necessary for the Company to provide the Service. You also understand and agree that the Site and the Service may include certain communications from the Company, such as service announcements and administrative messages, and that these communications are considered part of the Student Job Link membership, and that you will not be able to opt out of receiving them. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by the Company.

Student Job Link contains links to third party websites. These links are provided solely as a convenience and not as an endorsement by the Company of the contents on such websites. Because the Company has no control over these, you acknowledge and agree that the Company is not responsible or liable for any content, advertising, products, or other materials on or available from such third party websites. If you decide to access linked third party websites, you do so at your own risk.

Use of Site Content

You acknowledge and agree that, as between you and the Company, the Company is the sole legal and beneficial owner of all content on Student Job Link, including, without limitation, all data, designs, text, graphics, logos, button icons, pictures, video, information, applications, software, music, sound and other files, and their selection and arrangement, as well as all intellectual property rights associated with the foregoing (collectively, the “Site Content”). Unauthorized use of the Site Content may violate copyright, trademark, and other laws, and is strictly prohibited. You may not sell or modify the Site Content or reproduce, display, distribute, or otherwise use the Site Content in any way for any public or commercial purpose, except as expressly permitted herein. The use of the Site Content on any other website or in a networked computer environment for any purpose is prohibited unless the Company's prior written permission is obtained. You must retain all copyright, trademark and other proprietary notices contained in the original Site Content on any authorized copy you make.

System Security

You agree that you will not violate or attempt to violate the security of the Site or Service in any manner whatsoever, and without limiting the foregoing, you agree that you will not do or attempt to do any of the following: (a) access data not intended for you, or log into a server or account which you are not authorized to access; (b) probe, scan or test the vulnerability of a system or network or breach security or authentication measures; (c) interfere with service to any Candidate, Employer, host or network; or (d) send unsolicited e-mail, including promotions and/or advertising. You understand that violations of system or network security may result in civil or criminal liability. In order to ensure a safe and effective experience for all of our Users, the Company reserves the right to limit the amount of data (including Student Job Link web page views) that may be accessed by you in any given time period. These limits may be amended in the Company’s sole discretion from time to time. In order to protect the Users from commercial advertising or solicitation, the Company reserves the right to restrict the number of e-mails which a Candidate or Employer may send to other Candidates or Employers.

Privacy

In addition to the terms and conditions set forth in the Company’s Privacy Statement, you understand and agree that the Company may disclose to third parties, on an anonymous basis, certain aggregate information about you. The Company will not disclose or sell to any third party your name, address, e-mail address or telephone number, without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant. The Company reserves the right to offer third party services and products to you based on the preferences that you identify in your registration and at any time thereafter. Such offers may be made by the Company or by third parties.

No Warranties

The Company does not represent, warrant or guarantee the truthfulness, accuracy, or reliability of materials Posted by Candidates or Employers, nor does it endorse any opinions expressed on the Student Job Link Site. You acknowledge that any reliance on material Posted by Candidates and Employers will be at your own risk. You understand and agree that the Service and the Site is provided "AS-IS", and that the Company assumes no responsibility for the timeliness, deletion, misdelivery or failure to store any information or settings, including, without limitation, any communications or personalization settings.

Disclaimers

The Company is not responsible or liable in any manner for any content or materials Posted by Employers, Candidates, the Company or any other parties. Although we provide rules for User conduct and Postings, we do not control and are not responsible for what Users Post, transmit or share on the Site or Service and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or through your use of the Service, whether online or offline.

The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. The Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction or unauthorized access to, or alteration of any communications. Under no circumstances will the Company be responsible for any loss or damage, including any loss or damage to any materials or content or personal injury or death, resulting from anyone's use of the Site or the Service or any interactions between Users.

The Company reserves the right to change any and all content, materials, software and other items used in or contained on the Site or in any Services, at any time, without notice.

Limitation of Liability

The Company acts as a passive conduit for the online distribution and publication of Employer-and-Candidate-submitted information. Employer and Candidate authentication on the Internet is difficult, and as such, the Company cannot and does not confirm that each Employer or Candidate is who they claim to be. The Company is not involved in the actual transaction between Employers and Candidates, and as such, the Company has no obligation to screen communications or information supplied or Posted by Employers or Candidates.

By its very nature, other people’s information may be offensive, harmful or inaccurate, and in some cases, may be mislabelled or deceptively labelled. We expect that you will use caution and common sense when using Student Job Link.

The Company has no control over the quality, safety or legality of the jobs or resumes Posted, the truth or accuracy of the listings, the ability of Employers to offer job opportunities to Candidates, or the ability of Candidates to fill job openings. In addition, please note that there are risks (including, but not limited to, the risk of physical harm) when dealing with strangers, foreign nationals, underage persons or people acting under false pretences. You assume all risks associated with your dealings with Employers and Candidates.

THE SERVICE, THE SITE AND THE SITE CONTENT ARE PROVIDED ON AN "AS-IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, QUALITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT OF INTELLECTUAL OR OTHER PROPRIETARY RIGHTS. THE COMPANY CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITE AND/OR THE SERVICE. THE COMPANY MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE, THE SITE OR THE SITE CONTENT. THE COMPANY DOES NOT WARRANT THAT THE SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE SERVICE, THE SITE OR THE SITE CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, THE COMPANY IS NOT RESPONSIBLE FOR THOSE COSTS.

IN NO EVENT WILL THE COMPANY OR ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SERVICE, THE SITE OR THE SITE CONTENT, INCLUDING, WITHOUT LIMITATION, INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION, WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE COMPANY OR THROUGH OR FROM STUDENT JOB LINK SHALL CREATE ANY WARRANTY WHICH IS NOT EXPRESSLY STATED HEREIN.

Indemnity

You agree to indemnify and hold the Company, its directors, officers, employees, agents and contractors harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including legal fees and disbursements, arising out of or in connection with: (a) any material you Post or share on or through the Site or the Service; (b) your use of the Site or the Service; (c) your conduct in connection with the Site or the Service; (d) your conduct in connection with other Users; or (d) any violation of this Agreement, or of any law, or the rights of any third party.

Termination

The Company reserves the right to suspend or deny, in its sole discretion, your access to or use of all or any portion of the Site or the Service for any reason, without notice. The Company may terminate your membership and delete any Account Information without notice. You agree that any termination of your access to or use of the Site or the Service may be undertaken without prior notice, and you acknowledge and agree that we may immediately deactivate or delete your account and all Account Information and files in your account and bar any further access to same.

Jurisdiction

These Terms of Use are governed by the laws of British Columbia, without regard to the principles of conflict of laws. Jurisdiction for all claims and other disputes arising under this Agreement shall lie exclusively with the courts having jurisdiction within the Province of British Columbia.

General

These Terms of Use constitute the entire agreement between you and the Company regarding the use of the Site and/or the Service, and they supersede any prior agreements between you and the Company relating to your use of the Site and/or the Service. If any provision of these Terms of Use are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term.

BY ACCESSING OR USING STUDENT JOB LINK, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND ACCEPTED THESE TERMS OF USE AND YOU REPRESENT, WARRANT AND AGREE THAT YOU ARE NOT IN VIOLATION OF NOR WILL YOU VIOLATE SUCH TERMS OF USE. THESE TERMS OF USE CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND THE COMPANY AND IS ACCEPTED BY YOU UPON YOUR USE OF STUDENT JOB LINK.
